We Don’t Teach Business. We Build Business Owners.
Starting a business is more than choosing a name. The right structure can help you establish credibility, separate your business activities from your personal affairs, and create a foundation for growth.
At Mentor Solutions, we help aspiring entrepreneurs and business owners understand their options and take the steps needed to establish their businesses properly.
A Limited Liability Company (LLC) is a popular business structure that can provide liability protection while offering flexibility in management and taxation.
An LLC may be a good option for entrepreneurs who want to move beyond operating solely under their personal name and establish a formal business entity.
Separate Your Business
Create a formal business entity separate from your personal activities.
Build Credibility
Present your business professionally to customers, vendors, lenders, and potential partners.
Prepare for Growth
Create a structure that can support future business development, contracts, employees, and expansion.
Create a Business Foundation
An LLC is one piece of a larger business strategy that can include proper accounting, contracts, licensing, insurance, banking, and credit management.
Important: An LLC does not automatically provide tax advantages or guarantee personal liability protection. Your individual circumstances matter, so tax and legal questions should be discussed with a qualified attorney or tax professional.
Texas advises business owners to consider factors such as taxes, liability, management, ownership, continuity, and operating formalities when selecting a business structure.
A DBA, commonly called an assumed name in Texas, allows a business to operate under a name different from its legal name.
For example:
Legal Business Name:
La'Va Enterprises LLC
DBA / Assumed Name:
Mentor Solutions
An assumed name can be useful when you want to market a product, service, or brand under a different name while maintaining your existing legal entity.
Mentor Solutions can assist with:
LLC = Your Legal Business Structure
DBA = A Name Your Business Uses
A DBA does not create a separate business entity and does not replace an LLC, corporation, or other legal structure.
In Texas, LLCs and other filing entities using a name other than their legal name generally file an assumed name certificate with the Secretary of State.
Texas's current Form 503 lists a $25 filing fee for an assumed name certificate, and an assumed name can have a duration of up to 10 years.
Have a mission that serves your community?
A nonprofit organization can provide a formal structure for charitable, educational, community, artistic, or other qualifying purposes.
Mentor Solutions helps entrepreneurs and community leaders understand the steps involved in establishing a nonprofit organization and preparing for tax-exempt status.
We can assist with:
Forming a nonprofit corporation and receiving 501(c)(3) tax-exempt recognition are two different steps.
Creating a Texas nonprofit corporation does not automatically make the organization federally tax-exempt. An organization generally must meet IRS requirements and apply for recognition of exemption.
Organizations seeking recognition under Section 501(c)(3) generally apply using:
Form 1023
or
Form 1023-EZ, when eligible.
The IRS requires these applications to be submitted electronically through Pay.gov with the applicable user fee.
1. Establishment
Create the nonprofit corporation and establish its organizational foundation.
2. EIN
Obtain an Employer Identification Number for the organization.
3. Governance
Establish your board, bylaws, policies, and organizational records.
4. IRS Application
Prepare for the 501(c)(3) recognition process.
5. Grant Readiness
Organize your mission, programs, documentation, and organizational materials so you can pursue appropriate funding opportunities.
6. Ongoing Organization
Maintain proper records, governance documents, and compliance practices.
Important: Nonprofit status and federal tax-exempt status are not the same thing. Mentor Solutions provides business-development and administrative assistance and does not provide legal or tax advice. Approval of 501(c)(3) status is determined by the IRS.
Consider an LLC.
You want a formal business structure and a foundation for growth.
Consider a DBA / Assumed Name.
You already have a business entity or qualifying business structure and want to operate under another name.
Consider a Nonprofit.
You want to establish an organization around a qualifying mission and potentially pursue tax-exempt recognition.
LLC + DBA MAY BE AN OPTION.
An LLC can serve as the legal entity while an assumed name is used for a particular brand or line of business.
You don't have to figure it all out alone.
Mentor Solutions helps you move from:
IDEA → STRUCTURE → SETUP → STRATEGY → GROWTH
